1. Acceptance of Terms

Welcome to Aethaar ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our products, services, websites, and software applications, primarily our Agentic IDE known as Aethaar DevOp ("DevOp").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services. These Terms apply to all users, including individuals, developers, teams, and organizations.

2. Description of Service

Aethaar provides advanced AI-assisted software development tools, most notably DevOp, which is an Agentic Integrated Development Environment (IDE) that utilizes autonomous developer agents to assist in writing, editing, and managing code.

DevOp offers integration with both local open-weight models (such as Ollama) and trusted third-party AI cloud providers to power its intelligent features.

We reserve the right to modify, update, suspend, or discontinue any aspect of DevOp or our broader services at any time. For material changes to these Terms, we will provide at least 30 days' advance notice via email or a notification within your account dashboard. Your continued use of the services after such changes take effect constitutes your acceptance of the revised Terms.

3. User Accounts and Responsibilities

To use certain features of DevOp, you must create an account. You are solely responsible for maintaining the security and confidentiality of your login credentials.

You agree to:

  • Provide accurate, complete, and up-to-date information during registration.
  • Not share your account credentials, transfer your account, or allow unauthorized access to third parties.
  • Immediately notify Aethaar at [email protected] if you suspect any unauthorized use of your account.

4. AI-Generated Content and Liability

Aethaar DevOp utilizes artificial intelligence to generate, review, and modify source code. By using DevOp, you acknowledge and agree to the following:

User Ownership

You retain all ownership rights to the code, prompt inputs, and materials you create using our services. Aethaar does not claim ownership over the code generated by DevOp for your projects.

Inherent Risks of AI

Artificial intelligence is an evolving technology. The code, suggestions, and outputs generated by DevOp ("AI Output") may contain errors, logical flaws, security vulnerabilities, or inefficiencies.

Sole Responsibility

You are solely responsible for reviewing, testing, and verifying all AI Output before deploying it in any production environment. Aethaar expressly disclaims any liability for bugs, security breaches, data loss, or production outages resulting from the use of AI Output generated by DevOp.

5. Acceptable Use Policy

When using Aethaar DevOp and our services, you agree that you will not:

  • Use the services to generate, distribute, or store malicious code, malware, ransomware, or exploits.
  • Attempt to reverse engineer, decompile, or disassemble DevOp or any of our underlying AI infrastructure.
  • Use the services to violate any applicable local, state, national, or international law.
  • Interfere with, disrupt, or attempt to gain unauthorized access to Aethaar’s servers, networks, or systems.
  • Resell, sublicense, or distribute the services without our explicit written permission.

6. Billing, Subscriptions, and Refunds

Aethaar offers both free and paid subscription plans for DevOp. If you subscribe to a paid plan, the following terms apply:

  • Payment: You agree to pay all applicable fees associated with your chosen subscription plan. Subscriptions are billed in advance on a monthly or annual basis.
  • Changes: We may change our pricing with 30 days' advance notice. Your continued use of the services after a price change takes effect constitutes your agreement to pay the modified amount.

Monthly Plan Refunds

You may request a full refund within 14 days of your purchase or renewal date. Refunds will not be approved if any Aethaar DevOp service usage (AI completions, agent sessions, or quota consumption) was recorded after subscribing. Refunds are only available for accounts with no usage history during the billing period.

Annual Plan Refunds

Annual subscribers may request a refund within the first 6 months of their subscription. Approved refunds will cover the remaining unused balance, calculated on a pro-rated monthly basis. Requests submitted after 6 months are not eligible.

7. Intellectual Property Rights

Aethaar and its licensors retain all rights, title, and interest in and to the DevOp application, our website, branding, trademarks, logos, and underlying software infrastructure. These Terms do not grant you any license or right to use Aethaar's intellectual property except as explicitly required to use the service.

By using cloud-based AI features, you grant Aethaar and our trusted third-party AI providers a limited license to process your inputs strictly as necessary to provide you with the generated AI Output. For local model usage (e.g., Ollama), your code and inputs remain entirely on your local hardware.

8. Disclaimers and Limitation of Liability

Disclaimer of Warranties

THE SERVICES, INCLUDING AETHAAR DEVOP, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. AETHAAR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AETHAAR, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID TO AETHAAR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Governing Law

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

10. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in Delaware, rather than in court. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration. You may opt out of this arbitration agreement within 30 days of first accepting these terms by contacting us.

11. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.
